Terms of Service

These Terms govern your use of stillsharp.ai and our services. Using the site or buying from us means you agree to them.

We do two different things, and the terms differ.

Where Parts 2 and 3 differ, the one matching your relationship with us controls. Part 2 does not apply to business clients. Part 3 does not apply to individual customers.

Part 1 - Everyone

1. Eligibility

You must be 18 or older and able to form a binding contract. If you accept these Terms for a company, you confirm you can bind it.

2. What we offer

Individual services, bought online, governed by Part 2:

  • AI Career Score, free. An informational self-assessment. General guidance only.
  • Resume Rebuild, $149. An AI-assisted rewrite of the resume and LinkedIn content you provide, delivered as an editable document.

Business services, governed by Part 3: scoping call (free), workshops, working prototype, custom software build, and hosting and support.

Builds and hosting are sold under a signed agreement. Workshops are sold on a short written order rather than the full set of agreements. See section 21.

3. No guarantees

We work to deliver useful software and honest advice. We do not guarantee any specific business, revenue, operational, hiring or financial outcome from the site, our content or our services.

For individual services that includes interviews, offers and promotions. For business services it includes any particular saving, efficiency or result. Too much of that sits outside our control.

4. Your responsibilities

Give us accurate information. Use the site and services lawfully. Do not submit unlawful, infringing or fraudulent content, or another person's information without authorization. Do not probe, disrupt or attempt unauthorized access.

5. SMS and phone communications

If you give us your phone number and opt in, we may text you about your enquiry, scheduling and transactional updates.

Message frequency varies. Message and data rates may apply. Consent to receive text messages is not a condition of purchase. Reply STOP to opt out or HELP for help.

6. AI-assisted work

We use AI tools to deliver both individual and business services. AI output can contain errors, omissions and inaccuracies. For individual services you review and approve your documents before use. For business services, review and acceptance happen at the milestones in your agreement.

7. Third parties

The service relies on third parties including Stripe, LinkedIn and email providers. We are not affiliated with or endorsed by LinkedIn, and the service does not update your LinkedIn profile; it produces content for you to use. Their terms govern your use of them.

Part 2 - Individual services

Applies to the AI Career Score and the Resume Rebuild only.

8. Personal use only

These are licensed to you for your own personal use, to prepare your own resume and LinkedIn content. You may not resell, sublicense or repackage the output to provide resume-writing, coaching, staffing or recruiting services to other people or on behalf of an organization. Accounts used commercially or by several people may be suspended.

This does not apply to business services. See Part 3, which assigns ownership of custom software to you.

9. Not professional advice

These services do not provide career, legal, financial or employment advice and do not create a professional-client relationship.

10. Your content, our output

You keep ownership of what you provide. You grant us a limited license to use, process and transmit it, including to our AI and service providers, solely to deliver the service. You confirm you have the right to submit it. Subject to payment, the documents we deliver are yours to use.

11. Payment and refunds

The Resume Rebuild is $149 USD one-time, plus tax, processed by Stripe. Prices can change, but not for an order already placed.

If it is not useful, email support@stillsharp.ai within 14 days of delivery. We revise it first, and if it is still not right we refund you. We do not refund based on employment outcomes.

12. Liability for individual services

To the maximum extent permitted by law, our total liability for any claim relating to an individual service will not exceed what you paid us for it. Our refund process in section 11 is the primary remedy.

Part 3 - Business services

Applies when a company engages us to build software, host an application, or run a workshop.

13. How engagements work

Business work runs on a signed Master Services Agreement, one or more Statements of Work, and a Data Processing Addendum where we handle your data. Those signed documents control. This part describes our standard position so you know what to expect before we talk. Where it differs from your agreement, your agreement wins.

Workshops are the exception. A half-day working session runs on a short written order rather than the full set of documents, because requiring three signed agreements to buy half a day would cost you more in process than the session costs in money. Section 21 sets out how.

Nothing on this website is an offer capable of acceptance. No engagement exists until both parties sign.

14. You own what we build

On final payment we assign you all right, title and interest in the custom software built for you under a Statement of Work, including source code, and hand over the repository, configuration and documentation.

Two normal carve-outs:

  • We keep our pre-existing tools, libraries, templates and know-how, and anything built before or outside your project. You get a perpetual, non-exclusive license to use those as embedded in your deliverables. Without this we would sign away our own toolkit on every job, and you would be paying for that.
  • Third-party and open-source components stay under their own licenses.

No per-seat license. No ongoing license fee for the software. No technical lock stopping you taking it elsewhere.

15. Fixed price, and changes in writing

Each Statement of Work states a fixed price agreed before work starts. If scope changes, we agree the change and its price in writing before doing the work. No surprise invoices.

Prices are stated before tax. Fees quoted in a Statement of Work or a workshop order are exclusive of any sales, use or similar transaction tax. Where such tax applies we add it to the invoice and show it as a separate line, so the fee you agreed stays the fee you agreed. This does not cover taxes on our own income, which are ours.

16. Milestones, and where you can stop

  1. Scoping call. Free.
  2. Working prototype. Paid on commissioning, credited toward the build if you continue.
  3. Full build. Balance on delivery and acceptance.

After the prototype you may stop with no further obligation. You will have paid the prototype fee and nothing more.

Workshops sit outside this ladder. A workshop is a standalone engagement governed by section 21. Its fee is not credited toward a prototype or a build, and taking one puts you under no obligation to do either.

17. Your data and your instance

Your application runs on managed single-tenant hosting in the United States. Your instance and database are yours alone.

You provide the data and confirm you have the right to provide it, including any personal information about your employees or customers. What that covers for your particular project, and any handling requirements that come with it, is set out in your Statement of Work and Data Processing Addendum rather than here.

Your application uses your own account with the AI model provider. We set it up with you before launch and configure it so your content is not retained or used for training, and your agreement with that provider governs how they handle it. Usage is billed by them directly to you. The prototype and the build run on our account and are included in the price.

You can export at any time and we delete on request, as set out in the DPA.

Where a build sends SMS or email on your behalf, you are responsible for the consent you collect and for any carrier registration in your name. We will tell you what is required before it becomes a problem.

18. Confidentiality

Each of us keeps the other's confidential information confidential, uses it only for the engagement, and protects it with at least reasonable care. This covers your processes, pricing logic, documents and data, and our methods and materials.

The obligation runs for three years after the engagement ends, and for as long as the law protects them in the case of trade secrets. It binds both of us equally.

That is separate from how long we hold your data, which is covered in section 17 and in the Data Processing Addendum. Deleting your data and keeping quiet about what we learned are two different commitments, and the second one outlasts the first.

19. Warranty, support, hosting, insurance

We warrant the delivered software will perform materially as described in the Statement of Work for 30 days after handoff, and we will fix defects reported in that window at no charge. After that you can take it in-house, move to a support arrangement, or hand it to whoever manages your systems.

Except for that warranty, business services are provided "as is." It does not cover changes made by you or a third party, failures in third-party services, or use outside the documented scope.

Where you take hosting and support, the fee and inclusions are in your agreement. Our standard shape:

  • Initial term of 12 months, then it continues month to month.
  • 30 days' written notice to end it, from either side, at any point after the initial term.
  • 60 days' notice before any price change, and never during an initial term.
  • On termination we export your data in a standard format and, at your election, delete it. The export window is 30 days from the end date.

Model usage is not included in the hosting fee. It is billed by your AI provider directly to you on your own account, at cost.

No cancellation fee, and no penalty for leaving. If you want the application moved in-house or to another provider, we help you do it. Your repository, database project and hosting account each transfer to you natively, and you may elect to hold them in your own name from the start.

We maintain technology errors and omissions coverage and cyber liability coverage, and provide a certificate on request.

20. Liability for business services

To the maximum extent permitted by law, our total liability for a claim arising from a business engagement will not exceed the fees paid under the Statement of Work or workshop order giving rise to it.

This limit does not apply where the law does not allow it to, including for fraud, willful misconduct, gross negligence, or death or personal injury caused by negligence.

This is our standard position and we hold to it. We carry technology errors and omissions and cyber liability coverage, and the certificate is available before you sign. If a capped-at-fees limit does not work for your organization, it is better that we find that out on the scoping call than three weeks into a build.

Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or opportunities.

21. Workshops

Applies to the half-day working session described at stillsharp.ai/workshops.

We call it a workshop throughout these Terms and in your order. The name used in our marketing may change over time; this section is what governs.

What it is, and what it is not

A half-day facilitated working session, remote or on site, delivered to a group from your company. The deliverable is a written capacity map: the bottlenecks your team names, what they cost now, what they cost at higher volume, and our assessment of whether each one is worth building, buying or leaving alone. A draft is produced during the session and the written version follows within two business days.

A workshop is facilitation and advice, not software. Sections 14 and 19 do not apply to it. There is no code, no deployment and no 30-day software warranty, because there is no system. What you are buying is a day of work and a document.

How it is bought and paid for

Workshops run on a short written order confirming the date, format, fee and attendee count, which incorporates these Terms. No Master Services Agreement or Statement of Work is required.

The fee is invoiced on booking and due before the session date. A workshop is a calendar commitment we cannot resell at short notice, which is also why the rescheduling terms below exist.

Rescheduling and cancellation

If we cancel or reschedule, you choose: a new date at no additional cost, or a full refund. That holds however late the change is and whatever the reason for it.

The refund commitment

If, at the end of the session, there is nothing on the capacity map you consider worth acting on, say so before the session ends and you do not pay. If you have already paid, we refund in full within five business days.

Two conditions, both straightforward:

  • It has to be raised by your sponsor before the session ends, not afterwards.
  • If it is raised, we do not deliver the written capacity map and we destroy the draft. The map is the thing you are buying, so it is not something you keep without paying for it.

This is not a guarantee of any outcome, and section 3 still applies. We are not promising the session will find savings, avoid a hire, or produce a project worth doing. We are promising that if half a day turns up nothing you want to act on, you are not out any money.

The material you send us beforehand

We ask for real documents your team works with, usually three to five, along with short survey answers from participants.

Do not send personal information about your employees or customers unless we have agreed it in writing first. Redacted or sample versions work perfectly well for this, and they keep both of us out of a data-protection process that a half-day session should not require. If personal data is genuinely unavoidable in your material, we will put a Data Processing Addendum in place before you send anything.

We delete the material you send within 30 days of delivering the capacity map, or sooner if you ask. Our confidentiality obligation under section 18 runs for three years either way. Deleting your files and keeping quiet about what we learned are two different commitments, and the second one outlasts the first.

AI accounts used during the session

Session exercises run on accounts configured so your content is not retained or used for training. Those are either ours or ones you provide, agreed before the date.

Participants should not run session exercises through their personal AI accounts. We say this at the start of every session, but it is your material and it is worth knowing before the day.

On-site sessions

Where the session runs at your premises, you provide a suitable room, seating, power, network access and a display. You remain responsible for your premises and for the safety of the people in them.

On site currently covers the Kansas City metro, with travel included in the fee. Anywhere else, travel is quoted and agreed in writing before a date is held.

Recording

We may ask to record the session so that the capacity map is accurate. We will not record without your agreement. We will raise it before we start rather than partway through, and any recording is deleted once the map is delivered.

The capacity map

The map is yours. Use it, share it internally, take it to your board, show it to another vendor. Nothing in these Terms restricts what you do with it.

We keep our own templates, frameworks and know-how, the same carve-out as section 14 and for the same reason. The map does not transfer those.

We will not use your map, your company name or your material as a sample, case study or reference without your written consent. If we ask and you say no, that is a complete answer and it changes nothing about the work or the relationship.

Attendees

The session is designed for six to twelve participants. Your attendees are not parties to these Terms and we do not ask them to sign anything. You are responsible for who you bring and for telling them what the session involves.

Liability

Section 20 applies to workshops. Where a claim arises from a workshop rather than a Statement of Work, our total liability will not exceed the fee paid for that workshop.

Part 4 - Everyone

22. Our intellectual property, warranties, indemnity

The site, assessment, templates, text and branding are ours. Except for what Part 2 grants (your output) and Part 3 assigns (custom software), we grant no rights in it, and you may not copy, resell, reverse-engineer or make derivative works of it.

Except for the limited warranty in section 19, the service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement and accuracy.

You will indemnify StillSharp LLC and its owner against claims, losses and expenses, including reasonable legal fees, arising from your content or data, your use of the service or its output, or your breach of these Terms or the law.

23. Law, termination, changes, contact

These Terms are governed by the law of the State of Kansas, without regard to conflict-of-laws rules. Disputes are resolved in the state or federal courts in Kansas, and you consent to their jurisdiction.

We may suspend or end access if you breach these Terms or misuse the service. Termination of a business engagement is governed by your signed agreement. Provisions that should survive, including ownership, confidentiality, disclaimers, liability limits and indemnity, do.

We may update these Terms and will post the new version here with a new date. Changes do not alter a signed Statement of Work.
